General Terms and Conditions
General Terms and Conditions (GTC)
These General Terms and Conditions apply to all services related to Amazibition exhibitions and experience formats, in particular for:
- Events
- Pop-up exhibitions
- Installations in shopping malls
- Museum installations
- International touring exhibitions
- Temporary experience areas
They apply to both national and international projects unless otherwise agreed in the respective contract.
- Prices – Unless otherwise stated, all prices are quoted as net prices and are subject to the applicable statutory value-added tax or comparable international taxes.
- Scope of Services – Amazibition exhibitions are generally designed as self-operating exhibition formats.
Unless otherwise agreed, Amazibition personnel are only responsible for the following activities:
– installation and dismantling
– technical setup
– commissioning of the exhibition
During the regular operation of the exhibition, no Amazibition staff is required, unless explicitly agreed otherwise. - Catering and Accommodation
Catering and, where necessary, accommodation for Amazibition staff are included in the agreed price, unless otherwise expressly agreed. - Payment Terms – Upon signing the contract, a deposit of 25% of the total contract value becomes due.
The remaining amount is payable within 14 days after invoicing without deduction, unless otherwise agreed in the contract.
In case of delayed payment, interest on arrears of 8% per annum and a processing fee of EUR 30.00 may be charged. - Cancellation Policy – In the event of cancellation of a confirmed order, the following conditions apply:
– from booking confirmation: 25% of the total contract amount
– up to 21 days before the event: 50% of the total contract amount
– up to 14 days before the event: 80% of the total contract amount
– up to 7 days before the event: 100% of the total contract amount
Deposits made for specially purchased materials or custom-made components are non-refundable. - Installation and Dismantling – The organizer must ensure that the following conditions are met at the agreed time:
– cleared exhibition or event space
– unrestricted access to the exhibition area
– vehicle access for transport trucks
If these conditions are not met and delays occur as a result, such delays will be charged at a rate of EUR 75.00 per hour. - Logistics and Technical Support – Unless otherwise agreed, the organizer shall provide the following equipment for installation and dismantling:
– one forklift
– one certified forklift operator
– two electric pallet trucks
These are required for loading and unloading the truck and for internal transport during installation and dismantling.
The organizer must ensure in advance that the access routes from the delivery zone to the exhibition area are suitable for transport equipment.
Exhibits and exhibition elements are partly heavy and cannot be lifted or transported manually.
If individual exhibits cannot be installed due to unsuitable access routes, missing transport equipment or other on-site limitations, no claim for price reduction, discount or adjustment of the contract value shall arise.
If the required infrastructure is not provided and delays occur as a result, these delays will be charged at EUR 75.00 per hour. - Technical Requirements of the Exhibition – The organizer must provide exhibition space, electrical supply and technical infrastructure in accordance with the technical specification sheet of the respective Amazibition exhibition.
The technical specification sheet forms an integral part of the project agreement.
If the technical requirements are not fulfilled on site and this results in restrictions during installation or operation, the organizer shall bear the consequences. - Support Personnel – Unless otherwise agreed, the organizer is not required to provide additional support staff for installation or dismantling.’
- Exhibition Insurance – The organizer or venue operator is required to obtain exhibition insurance for the entire duration of the exhibition, unless such coverage is already fully included in an existing business or event insurance policy.
The insurance coverage must include the entire period of the exhibition, including:
– installation
– exhibition operation
– dismantlingThe exhibition insurance must in particular cover damages or losses caused by:
– visitors
– venue staff
– contracted service providers
– third parties
– vandalism
– theft
– improper use
Damaged or destroyed exhibition elements, exhibits or technical components will be charged at replacement or repair value and may be covered by the insurance.
The organizer is also responsible for securing the exhibition area outside opening hours.
Unless otherwise agreed, Amazibition does not provide security or guarding services.
Any damages or losses caused by insufficient security, lack of supervision or actions by visitors or third parties are the responsibility of the organizer or venue operator under the exhibition insurance. - Duty of Supervision – The duty of supervision for children during the visit of the exhibition lies exclusively with the accompanying adults or legal guardians.
Amazibition does not assume general supervisory responsibility for minors. - Force Majeure – The contractor shall not be liable for delays or failure to perform services if such delays or failures are caused by force majeure events.
This includes in particular:
– pandemics
– government closures or event prohibitions
– natural disasters
– political unrest
– strikes
– unforeseeable legal restrictions
In such cases, both parties will seek a fair solution to postpone or adjust the project. - Intellectual Property and Trademark Rights – All rights to content developed by Amazibition remain with the contractor.
This includes in particular:
– exhibition concepts
– game mechanics
– experience stations
– narrative and dramaturgical content
– designs
– software solutions
– trademarks
– Amazibition branding
Any reproduction, imitation or reuse of these contents is not permitted without written consent from Amazibition. - Use of Photo and Video Material – Amazibition is entitled to use photo and video recordings of the exhibition for marketing and documentation purposes, unless otherwise agreed in writing.
- Applicable Law and Jurisdiction – To the extent legally permissible, Austrian law shall apply to all contractual relationships.
Court of jurisdiction is A-8280 Fürstenfeld. - Final Provisions – Should any provision of these terms and conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
The parties undertake to replace the invalid provision with a provision that comes as close as possible to the intended economic purpose.
